2. Eligibility

Customer engagement automation
Vendor/business communication support tools
Related updates, integrations, and dashboard services
All services are subject to modification, suspension, or discontinuation at any time without prior notice.
4. Vendor Responsibilities
As a vendor, reseller, or business user of ZingBot Update, you agree to:
Provide accurate and complete business/account information during registration and usage
Use the platform only for lawful, ethical, and authorised business purposes
Ensure all communications sent through the platform comply with applicable laws, regulations, and messaging policies
Obtain all necessary customer consent or permissions before sending marketing or promotional messages
Refrain from using the platform for:
Spamming or unsolicited messaging
Fraudulent, misleading, or deceptive campaigns
Harassment, abuse, or harmful communication
Illegal or restricted content
Any activity that violates WhatsApp, Meta, or third-party platform policies
You are solely responsible for all campaigns, content, customer data, and communications sent through your account.
5. Account Security
You are responsible for maintaining the confidentiality and security of your login credentials, access details, and account permissions.
You agree to:
Restrict unauthorised access to your account
Notify us immediately if you suspect unauthorised access, misuse, or a security breach
ZingBot Update shall not be liable for any loss, damage, or unauthorised activity resulting from your failure to secure your account.
6. Payments and Refunds
Vendors agree to pay all applicable subscription fees, service charges, setup costs, usage-based fees, or other charges related to the selected services.
All payments made to ZingBot Update are non-refundable, unless otherwise expressly stated in a separate written agreement or service-specific policy.
Failure to make timely payments may result in suspension, restriction, or termination of access to services.
We reserve the right to revise pricing, billing structures, or subscription plans at any time.
7. Intellectual Property
All software, platform features, dashboards, systems, content, branding, trademarks, logos, graphics, text, workflows, and materials made available on update.zingbot.in are the exclusive property of ZingBot or its licensors.
Vendors may not:
Copy, reproduce, distribute, or republish platform content
Reverse engineer, decompile, or attempt to extract source code
Modify or create derivative works based on the platform
Use ZingBot branding without prior written permission
Unauthorised use is strictly prohibited.
8. Privacy and Data Usage
We are committed to protecting your data and privacy. By using the platform, you acknowledge and agree that:
We may collect, process, and store business and usage data necessary to provide our services
You are responsible for ensuring that any customer or contact data uploaded by you has been lawfully collected and used
You must comply with all applicable privacy and data protection laws

9. Third-Party Platforms and Integrations

Restrictions, suspensions, or bans imposed by third-party platforms

10. WhatsApp and Messaging Compliance
By using ZingBot Update, you expressly agree that:
You will comply with all WhatsApp Business, Meta, and applicable messaging platform rules
You will not use the platform for spam, unsolicited marketing, or policy-violating campaigns
You understand that message delivery, number quality, account health, and account approval are controlled in part by third-party platforms
ZingBot Update shall not be held liable for:
Number bans or restrictions
Message failures or delivery issues
Template rejections
Account quality rating drops
Suspension or disabling of WhatsApp Business accounts
11. Limitation of Liability
To the fullest extent permitted by law, ZingBot Update, its owners, affiliates, partners, employees, licensors, and service providers shall not be liable for any:
Indirect, incidental, special, punitive, or consequential damages
Loss of profits, revenue, goodwill, data, leads, customers, or business opportunities
Service interruptions, delays, delivery failures, or automation errors
Platform downtime or technical malfunctions
Third-party platform bans, restrictions, or compliance actions
Damages arising from vendor misuse or non-compliance
Your use of the platform is entirely at your own risk.
12. Suspension and Termination
We reserve the right to suspend, restrict, or terminate your vendor access to update.zingbot.in at our sole discretion, without prior notice, if:
You violate these Terms
You fail to make the required payments
You misuse the platform or its messaging tools
You violate WhatsApp, Meta, or third-party policies
Your activity creates legal, technical, financial, or reputational risk to ZingBot Update or others
Upon termination, your access to the platform and services may be revoked immediately.
13. Disclaimer of Warranties
The platform and all services are provided on an "as is" and "as available" basis.
We do not guarantee that:
The platform will always be uninterrupted, secure, and error-free
Messages will always be delivered successfully
Third-party integrations will remain continuously available
Any campaign will achieve a particular business result
The service will meet every vendor’s specific requirements
All express and implied warranties, including merchantability and fitness for a particular purpose, are disclaimed to the maximum extent permitted by law.
14. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Solapur, Maharashtra, India.
15. Changes to Terms
We reserve the right to modify or update these Terms at any time. The latest version will always be available on https://update.zingbot.in
Your continued use of the platform after any changes are posted constitutes your acceptance of the updated Terms.
